CONSTITUTION OF THE

VIRGINIA CLINTON KELLEY

DEMOCRATIC WOMEN’S CLUB OF GARLAND COUNTY, ARKANSAS

ARTICLE I: NAME, GOALS AND OBJECTIVES

Section 1. Name

The name of this organization shall be the VIRGINIA CLINTON KELLEY DEMOCRATIC WOMEN’S CLUB OF GARLAND COUNTY, also known as the VCK Democratic Women’s Club or the VCK.

 

Section 2. Goal

The goal of the VIRGINIA CLINTON KELLEY DEMOCRATIC WOMEN’S CLUB OF GARLAND COUNTY is to unite women and their associates in support of democratic and progressive principles.

 

Section 3. Objectives

The objectives of this organization shall be:

  1. Promote women in pursuit of truth and justice in government.

  2. Encourage full participation of women at all levels of county, state and national offices for a more balanced representation.

  3. To initiate and carry out programs and projects on behalf of the Democratic Party and the Democratic Party nominees.

  4. To endorse, as a body, only the nominees of the Democratic Party, recognizing that each member has the constitutional right, guaranteed to all eligible citizens, to vote for the Democratic candidate of her choice in a primary.

  5. To promote diversity and intercultural understanding within the greater Hot Springs community.

 

ARTICLE II. MEMBERSHIP

The qualifications, classifications, rights and obligations of members of the VCK shall be prescribed by the Bylaws.

 

ARTICLE III.  OFFICERS AND DUTIES:

Section 1.  Officers

The officers shall be President, Vice President, Secretary, Treasurer and Membership Chair.

 

Section 2.  Duties

The officers shall perform the duties as stated by the Bylaws.

 

ARTICLE IV.  MEETINGS

Section 1.  Regular Meetings

Regular membership meetings shall generally be held on the fourth Tuesday of each month, except July and December. Changes to the usual meeting dates will be announced in advance to the membership.      

 

Section 2.  Board of Directors Meetings

Board of Director meetings shall be held monthly.

 

Section 3.  Special meetings

Special membership meetings may be called by the Executive Board or by a quorum of four (4) members.  Members shall be notified one week prior to the special meeting.

 

ARTICLE V:  AMENDMENTS

Section 1.  Proposal of Amendments

This Constitution and its Bylaws may be amended in accordance with the procedures stated herein.

 

Section 2.  Procedures

The amendment(s) shall be presented in written form at a regular meeting of the organization.

 

Section 3.  Ratification

The proposed amendment(s) must be ratified by a simple majority of those attending the next regular meeting following discussion of the amendment(s).

 

 

ARTICLE VI:  PARLIAMENTARY AUTHORITY

Robert’s Rules of Order, Newly Revised shall be the parliamentary authority of the VCK.  The rules contained in the current edition of Robert’s Rules of Order, Newly Revised, shall govern the VCK in all cases to which they are applicable and in which they are consistent with the Constitution, Bylaws and any special rules of order the VCK may adopt.

 

 

ARTICLE VII:  DISSOLUTION

In the event of the dissolution of the VCK, the funds and other assets shall be given to the Democratic Party of Garland County. The records shall be deposited with the Hot Springs Historical Society.  Any material in the possession of the VCK pertinent to William Jefferson Clinton personally or to his administration shall be forwarded to the Clinton Library in Little Rock, but if a local Clinton library or museum is constructed in Hot Springs, such memorabilia shall be deposited with it instead.

BYLAWS OF THE

VIRGINIA CLINTON KELLEY

DEMOCRATIC WOMEN’S CLUB OF GARLAND COUNTY, ARKANSAS

ARTICLE I:  MEMBERSHIP

Section 1.  Full Membership

  1. Any women interested in the objectives of this organization and is a registered voter shall be eligible for full membership.

  2. A member in good standing is one who actively fulfills the objectives of this organization as stated in the Constitution Article I, Section 2 and is current with her membership dues.

 

Section 2.  Honorary Membership

A person, recommended by the Board of Directors, may be designated an honorary member upon vote of the Board of Directors.

Section 3.  Associate Membership

Any others wishing to support the VCK and the Democratic Party may become an associate member at a reduced rate as set by the Board of Directors.  Associate members will have all privileges of full members except those of holding office and making motions or voting.

 

 

ARTICLE II:  DUES

Section 1.  Service Year

The service shall be from January 1 to December 31.  All materials pertaining to an office shall be presented to the new officer by the January regular meeting.  Transfer of funds notification shall be made to appropriate banking institution by the January regular meeting.

 

Section 2.  Active Members

Annual dues of the VCK shall be as set by the Executive Board and approved by the general membership.  The dues are to be paid in January of each year.  A limited number of complimentary scholarships are available and provided at the discretion of the Membership Chair.

 

Section 3.  Associate Members

Associate member dues shall be set by the Board of Directors at a reduced rate.

 

ARTICLE III:  QUORUM

The quorum for the transaction of business at any regular or called meeting of the organization is twenty percent (20%) of the current membership.

 

 

ARTICLE IV:  ELECTION

Section 1.  Election of Officers

Election of officers shall be held at the regular November meeting of each year.

 

Section 2.  Nominations

The Membership Chair shall present the President a list of members in good standing before nominations are considered.  All nominees and voters must appear on the list.

 

Section 3.  Voting

The officers shall be elected by majority votes of those present.

 

Section 4.  Term of Office

Officers shall serve for a term of one (1) year, and may serve two consecutive terms only, or until a duly elected successor is installed.

 

Section 5.  Installation

The retiring President shall be in charge of the installation at the January meeting.

 

 

ARTICLE V:  DUTIES OF THE OFFICERS

Section 1.  Duties

  1. PRESIDENT.  The President shall preside at all regular and called meetings of the organization; sign all official documents of the organization, have signing privileges on checks with the Treasurer, appoint all chairs and advise on all committee members and she shall serve as an ex-officio member of all committees except nominating.

 

  1. VICE PRESIDENT. The Vice President shall perform all duties of the President in her absence. 

 

  1. MEMBERSHIP CHAIR. The Membership Chair shall perform all duties of the President in absence of the President and Vice President.  She shall keep an accurate list of membership and shall function as directed by the President and/or the Board of Directors.

 

  1. SECRETARY. The Secretary shall keep a permanent record of the general and Board of Directors meetings.

  1. TREASURER.  The Treasurer shall receive all monies of the club and make disbursements upon authority of the President and/or the Board of Directors and shall present a report at each monthly meeting. The Treasurer’s records must be audited annually in the month of January by an individual appointed by the President.

 

  1. IMMEDIATE PAST PRESIDENT.  The Immediate Past President will provide support to the Board of Directors and be an information officer.

 

ARTICLE VI:  VACANCY

Section 1.  Presidential Appointment

Any vacancy shall be filled by presidential appointment in consultation with the Board of Directors to be confirmed by a simple majority at the regular meeting following the one at which the vacancy was announced.

 

Section 2.  Absence of Officer

In the event any officer is unable to perform the duties of the office for three (3) consecutive months, the office shall be declared vacant.

 

 

ARTICLE VII:  Board of Directors

The Board of Directors shall be comprised of the officers elected according to Article IV of the VCK bylaws.  The President, in consultation with the Board of Directors, shall have the authority to appoint up to 5 Members at Large. Responsibilities for Members at Large may include: Publicity Chair, Events Chair, Program Chair and Volunteer Coordinator. No one may hold more than one (1) elected office.  The Immediate Past President shall be a voting member of the Board of Directors and all Past Presidents shall be ex-officio, non-voting members.

 

ARTICLE VIII:  COMMITTEE

Section 1.  Appointment

All Standing and Special Committees shall be appointed by the President to serve for one year. 

 

 

ARTICLE IX:  AMENDMENTS

These Bylaws may be amended as stated in Article V of the Constitution of the VIRGINIA CLINTON KELLEY DEMOCRATIC WOMEN’S CLUB OF GARLAND COUNTY, ARKANSAS.
